Transfer, sell, rent, lease, lend, loan, distribute, sub-license, or assign any rights to the ECFY Software, in whole or in part. Use the ECFY Software for any purpose other than as explicitly allowed, including but not limited to any illegal activities. 2.4.3 Termination of Use ECFY reserves the right to cease providing the ECFY Software and terminate your right to use the software at any time. Your rights to use the software will terminate automatically, without notice, if you violate any of these terms, the general Conditions of Use, or other applicable agreements. 2.4.4 Third-Party Software Terms Certain ECFY Software may include third-party software components or services. Users are responsible for ensuring compliance with all applicable laws when using the software. 2.5 Applicability of Terms These Terms and Conditions apply to all users of the ECFY platform, including but not limited to visitors, registered users, and merchants. The platform encompasses the website, mobile application, and any associated digital services offered by ECFY. 2.6 Binding Nature This agreement is binding upon you as per the applicable laws of India. By using this platform, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. 2.7 Legal Jurisdiction and Compliance These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Scope of Services 4.1 Product and Service Categories ECFY provides a Platform that facilitates transactions between merchants and buyers for a diverse range of products and services, including but not limited to: Prepared Food and Beverages Grocery and Consumer Goods Seafood and Freshwater Food Products Meat and Poultry Products Pharmaceutical Products Fashion and Apparel Electronics and Gadgets Cosmetics and Personal Care Products Building Materials and Supplies All goods and products permissible for sale on an e-commerce platform 4.2 Additional Services In addition to product sales, ECFY facilitates a variety of services, including but not limited to: Doctor Appointment Booking Salon and Beauty Services Booking Hiring of Professionals Pick-Up and Drop Services All other services permissible on an e-commerce platform 4.3 Buyer Transactions Buyers can browse, select, and place orders ("Orders") for products and services listed by participating merchants ("Merchants"). Additionally, Buyers can place orders for specific tasks ("Tasks") available through the Platform. 4.4 Delivery Services 4.4.1 Delivery Facilitation ECFY also facilitates the delivery of Orders and the completion of Tasks in select serviceable locations across India ("Delivery Services"). This is achieved by connecting Buyers or Merchants with third-party service providers referred to as Delivery Associates. 4.4.2 Delivery Associates Delivery Associates are independent entrepreneurs engaged with ECFY on a voluntary, non-exclusive, and principal-to-principal basis to provide these services for a service fee. Delivery Associates operate as independent contractors, free to determine their work schedules and methods of service delivery. ECFY does not exercise control over the Delivery Associates, and the relationship between Delivery Associates and ECFY is not that of an agent and principal or employer and employee. 4.4.3 Service Fees For the pick-up and delivery services and the completion of Tasks, Delivery Associates may charge the users of the Platform (Buyers or Merchants) a service fee. This fee is: Inclusive of applicable taxes unless otherwise specified. Determined based on various factors, including but not limited to: Distance covered Time taken Demand for Delivery Services/Tasks Real-time analysis of traffic and weather conditions Seasonal peaks Other parameters as determined from time to time
